Terms of Service for Nyentu.com

Welcome to Nyentu.com (“Platform,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our classified advertisements platform, website, mobile applications, and related services (collectively, the “Services”), which are designed to connect individuals and businesses seeking truck hire services (“Customers”) with truck owners, drivers, and logistics providers (“Service Providers”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

By creating an account, posting a listing, responding to a listing, or otherwise using Nyentu.com, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Nyentu.com is a classified ads platform that facilitates connections between users for the purpose of truck hire and moving services. We are NOT a transportation carrier, broker, agent, or employer. We do not own trucks, employ drivers, or provide moving services. We are a neutral venue for listing and discovery. All agreements for services are strictly between Users. Nyentu.com is not a party to any transaction and assumes no liability arising from the conduct of Users.

3. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use our Services. By using Nyentu.com, you represent and warrant that you meet these eligibility requirements.

4. User Accounts and Responsibilities

  • Account Creation: You must provide accurate, current, and complete information during registration and keep your account updated.

  • Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

  • One Account: You may not create multiple accounts to manipulate the platform, circumvent fees, or mislead other users.

  • Prohibited Conduct: You agree not to use the Services to:

    • Post false, misleading, fraudulent, or defamatory content.

    • Harass, abuse, or harm another person.

    • Violate any applicable law or regulation.

    • Infringe upon the intellectual property rights of others.

    • Transmit viruses or malicious code.

    • Use automated systems (e.g., bots, scrapers) to access the Services without permission.

    • Attempt to gain unauthorized access to any part of the Services.

5. Listings and Content

  • User-Generated Content: You are solely responsible for all content you post (“User Content”), including listings, messages, reviews, and photos.

  • Accuracy: You warrant that all User Content is accurate, lawful, and not misleading.

  • License: By posting User Content, you grant Nyentu.com a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content for the purpose of operating and promoting the Platform.

  • Moderation: We reserve the right, but not the obligation, to review, edit, move, or remove any User Content at our sole discretion and without notice.

6. Transactions and Interactions

  • Direct Agreement: All negotiations, terms, payments, and performance of moving services are solely between the Customer and the Service Provider. Nyentu.com is not involved in and is not responsible for these agreements.

  • Due Diligence: Users are solely responsible for conducting their own due diligence before engaging in a transaction. This includes verifying identity, credentials, insurance, vehicle condition, and negotiating service terms.

  • No Endorsement: The presence of a listing on the Platform does not constitute an endorsement, warranty, or guarantee by Nyentu.com regarding the quality, safety, or legality of the services offered.

  • Disputes: Any disputes between Users must be resolved directly between the parties involved. Nyentu.com has no obligation to mediate or participate in such disputes.

7. Fees and Payments

Currently, basic listing and connection services on Nyentu.com are free. We reserve the right to introduce fees for premium features or services in the future. Any such changes will be communicated clearly in advance.

8. Intellectual Property

All content, features, and functionality on the Nyentu.com platform (excluding User Content), including but not limited to text, graphics, logos, software, and the overall “look and feel,” are the exclusive property of Nyentu.com or its licensors and are protected by Ghanaian and international copyright, trademark, and other intellectual property laws.

9. Disclaimer of Warranties & Limitation of Liability

  • Services “As Is”: THE NYENTU.COM SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

  • No Liability for Transactions: TO THE FULLEST EXTENT PERMITTED BY LAW, NYENTU.COM DISCLAIMS ALL LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES OR ANY TRANSACTION BETWEEN USERS.

  • Maximum Liability: OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT OF ONE HUNDRED GHANAIAN CEDIS (GHS 100) OR THE AMOUNT YOU HAVE PAID TO NYENTU.COM IN THE LAST 12 MONTHS, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nyentu.com, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; or (d) your interaction with any other User.

11. Termination

We may suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Accra, Ghana.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on the Platform and updating the “Effective Date.” Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
